Terms of Service

Template notice. These terms are a working starting point, not legal advice. Have them reviewed by a lawyer against your actual commercial arrangements before you publish or rely on them.

1. Who these terms are between

These terms govern the relationship between First Page Fox (“we”, “us”), operating from 3rd Floor, Tower B, Sector 142, Noida, Uttar Pradesh 201305, India, and you (“the client”). They apply from the point you accept a proposal or make a first payment, whichever comes first.

Where a signed proposal or statement of work conflicts with these terms, the signed document takes precedence.

2. What we provide

We provide local SEO services as set out in the plan you select and the scope of work issued at the start of each month. That scope defines what is included; anything outside it is additional work, quoted separately and only begun once you approve it.

We may adjust tactics within an agreed scope where the data supports it — for example, prioritising review generation over link building in a given month. Material changes to scope are discussed with you before they happen, not reported afterwards.

3. What we do not guarantee

We do not guarantee any specific ranking, position, traffic level, lead volume or revenue outcome. Search rankings depend on Google's algorithms, your competitors' activity, your market and factors outside anyone's control.

Any figures in our proposals, case studies or on this website are historical results from other clients. They are not a prediction of your results and should not be relied on as one.

4. Payment

  • Fees are billed monthly in advance. Invoices are issued on the 1st and payable within 7 days.
  • All prices are exclusive of GST, which is added at the prevailing rate. We issue a tax invoice so you can claim input credit.
  • Third-party costs — paid directory listings, call tracking numbers, sponsorships — are billed at cost and only after you have approved them.
  • If an invoice is more than 15 days overdue we may pause work after giving you written notice. We resume once payment clears.

5. Term, minimum period and cancellation

There is an initial minimum period of 90 days. This exists because local SEO foundation work — profile rebuilds, citation cleanup, duplicate suppression — takes that long to register with search engines, and results before then are not a fair measure of anything.

After the initial 90 days, the engagement continues month to month. Either party may terminate with 30 days written notice. There is no cancellation fee.

We may terminate immediately if you ask us to do something that violates search engine guidelines or the law, or if invoices remain unpaid more than 45 days after their due date.

6. What you provide

For us to do the work, you agree to provide:

  • Manager-level access to your Google Business Profile, Search Console and Analytics
  • Access to your website or a working relationship with whoever maintains it
  • Accurate business information — name, address, phone, hours, services
  • Timely responses to approval requests; work that waits on your approval stays in the scope but may shift to the following month

Delays in providing access or approvals do not extend the minimum period or entitle you to a refund of fees for that month.

7. Ownership of work

Everything we create for you — Google Business Profile content, landing pages, citations, dashboards, reports and documentation — belongs to you. On termination we hand it over and remove our access. You keep it all.

What remains ours are the internal methods, templates, checklists and tools we use to do the work. Nothing here transfers ownership of those.

8. Confidentiality

We treat your business data, performance figures and commercial information as confidential and will not disclose them to anyone outside First Page Fox without your permission, except where legally required.

We will not use your name, logo or results in marketing material without asking you first. If you would rather be anonymous in a case study, that is fine and we will write it that way.

9. Limitation of liability

Our total liability for any claim arising from these terms is limited to the fees you paid us in the three months preceding the claim.

We are not liable for indirect or consequential losses, including lost profits, lost business or loss of goodwill. Nothing in this clause limits liability for fraud or for anything that cannot be limited under Indian law.

We are not liable for the actions of third parties, including changes to Google's algorithms, policies or products, or the suspension of a profile for reasons outside our control.

10. Google Business Profile suspensions

Profile suspensions can happen for reasons predating our involvement — a previous agency's practices, an address issue, a category history. Where a suspension occurs during our engagement, we will pursue reinstatement as part of the retainer at no additional charge. We cannot guarantee reinstatement, and we cannot be held liable for revenue lost while a profile is suspended.

11. Non-solicitation

During the engagement and for 12 months afterwards, neither party will directly solicit the other's employees or contractors for employment without written consent. Responding to a public job advertisement does not count as solicitation.

12. Governing law

These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Gautam Buddh Nagar, Uttar Pradesh.

Before starting proceedings, both parties agree to attempt to resolve the dispute in good faith through discussion for at least 30 days.

13. Changes to these terms

We may update these terms. For existing clients, changes take effect at the start of the next billing month and we will tell you in writing at least 30 days beforehand. If you do not accept a change, you may terminate at the end of that notice period without penalty.
